These Terms & Conditions ("Terms") govern your access to and use of the OrthoScribe website and services. By accessing or using OrthoScribe, you agree to be bound by these Terms.
About OrthoScribe
OrthoScribe is an AI-powered clinical documentation platform operated by Lotus Scientific ("Lotus," "we," "us," or "our").
Scope of These Terms
These Terms apply to:
- Visitors to the OrthoScribe website
- Prospective customers and business inquiries
- Authorized users of the OrthoScribe platform
Use of OrthoScribe services by healthcare providers is also governed by applicable agreements, including a Master Services Agreement (MSA) and Business Associate Agreement (BAA) where required.
In the event of a conflict, the terms of an executed MSA or BAA control.
Eligibility & Authorized Use
You must be legally capable of entering into a binding contract to use OrthoScribe. If you are accessing OrthoScribe on behalf of an organization, you represent that you have authority to bind that organization.
You agree to use OrthoScribe only for lawful purposes and in accordance with these Terms and applicable laws and regulations.
No Medical Advice
OrthoScribe is a documentation and workflow support tool. It does not provide medical advice, clinical diagnoses, treatment recommendations, or billing determinations.
OrthoScribe does not practice medicine and does not replace the professional judgment of a licensed healthcare provider.
Clinical Review & Provider Responsibility
OrthoScribe assists with clinical documentation by generating draft content based on user input.
All notes, records, and outputs generated by OrthoScribe must be reviewed, verified, and approved by a licensed healthcare professional prior to submission, signing, or inclusion in a patient's medical record.
The healthcare professional remains solely responsible for:
- The accuracy, completeness, and appropriateness of clinical documentation
- Compliance with medical, billing, coding, and regulatory requirements
- Final clinical judgment and patient care decisions
OrthoScribe does not independently verify the accuracy of clinical content and does not guarantee that generated content is complete or error-free.
Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of account credentials
- Ensuring that only authorized users access the platform
- All activity conducted under your account
You must notify us promptly of any unauthorized access or suspected security incident.
HIPAA & Protected Health Information (PHI)
When OrthoScribe processes Protected Health Information (PHI) on behalf of healthcare providers, such processing is governed by an applicable Business Associate Agreement and HIPAA regulations.
Our handling of PHI is described in our HIPAA Compliance documentation and applicable customer agreements.
Intellectual Property
All software, content, designs, trademarks, and materials provided by OrthoScribe are owned by Lotus Scientific or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the services solely as permitted under these Terms and applicable agreements.
You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works without prior written authorization.
Acceptable Use
You agree not to:
- Use OrthoScribe in violation of applicable laws or regulations
- Attempt to bypass security or access controls
- Interfere with system integrity, availability, or performance
- Upload malicious code or harmful content
- Use the platform to generate false, misleading, or unlawful documentation
We reserve the right to suspend or terminate access for violations of these Terms or applicable agreements.
Third-Party Services
OrthoScribe may integrate with or rely on third-party services, including EHRs, speech-to-text providers, and AI model providers.
We are not responsible for third-party services outside our control, which may be subject to their own terms and policies.
Service Availability
We strive to provide reliable access to OrthoScribe but do not guarantee uninterrupted, timely, secure, or error-free operation. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOTUS SCIENTIFIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOTUS SCIENTIFIC AND ORTHOSCRIBE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold harmless Lotus Scientific from claims, damages, losses, and expenses arising out of:
- Your misuse of the services
- Violation of these Terms
- Violation of applicable laws or regulations
Termination
We may suspend or terminate access to OrthoScribe for violation of these Terms or applicable agreements.
Upon termination, your right to use the services will immediately cease. Data handling and retention upon termination are governed by applicable customer agreements and BAAs.
Governing Law
These Terms are governed by the laws of the State of [Insert State], without regard to conflict of law principles.
Changes to These Terms
We may update these Terms from time to time. Updates will be posted on this page with a revised effective date. Continued use of the services constitutes acceptance of the revised Terms.
